• Product listing and browsing for APIs, additives, fine chemicals, intermediates, and other chemical products
• Inquiry and quotation system for buyer-supplier communication
• Supplier shop management and product promotion
• Order processing and shipping fee calculation
• Enterprise certification and verification services

3Account Registration and Security

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Synverta reserves the right to suspend or terminate accounts that violate these terms or engage in activities detrimental to the platform or other users.

4User Conduct and Obligations

When using our platform, you agree not to:

• Post false, misleading, inaccurate, or deceptive product information or listings
• Engage in fraudulent activities, including but not limited to fake orders, false reviews, or payment fraud
• Upload or transmit any content that is illegal, harmful, threatening, abusive, or defamatory
• Attempt to gain unauthorized access to our systems, other users' accounts, or any part of the platform
• Use automated tools, bots, or scrapers to access the platform without prior written consent

5Intellectual Property

All content on the Synverta platform, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Synverta or its content suppliers and is protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the platform without express written permission from Synverta.

6Disclaimer of Warranties

The Synverta platform and all content, products, and services provided are offered on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Synverta does not warrant that the platform will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any information on the platform.

Synverta does not endorse, guarantee, or assume responsibility for the quality, safety, or legality of products listed by third-party suppliers. Users are responsible for conducting their own due diligence before engaging in transactions.

7Limitation of Liability

To the fullest extent permitted by applicable law, Synverta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your use or inability to use the platform.

Our total liability to you for all claims arising from or related to these terms or your use of the platform shall not exceed the amount you have paid to Synverta in the twelve (12) months preceding the claim.

8Termination

Synverta may terminate or suspend your access to the platform immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms of Use.

Upon termination, your right to use the platform will cease immediately. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any disputes arising from or in connection with these terms shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Shanghai, China.

10Changes to Terms

Synverta reserves the right to modify or replace these Terms of Use at any time at our sole discretion. We will provide notice of material changes by posting the updated terms on this page with a new "Last Updated" date.

Your continued use of the platform after any modifications constitutes acceptance of the updated terms. We encourage you to review these terms periodically.
